2. TERMS OF SERVICE: 2.1 The term of this Agreement shall commence on [Start Date] and shall continue until the completion of the services, unless earlier terminated by either party in accordance with the terms herein.
3. PAYMENT: 3.1 In consideration for the services provided, the Client agrees to pay the Service Provider the total sum of Services Cost according to the following payment schedule: a. [Specify payment milestones and due dates]. b. Late payments may incur 17% interest per month.
4. CHANGES AND ADDITIONS: 4.1 Any changes or additions to the scope of services must be agreed upon in writing by both parties. Additional fees may apply for any changes requested by the Client.
5. WARRANTIES: 5.1 The Service Provider warrants that all services will be performed in a professional and workmanlike manner and in accordance with industry standards.
6. INSURANCE: 6.1 The Service Provider agrees to maintain adequate insurance coverage for the duration of the services, including but not limited to liability and workers' compensation insurance.
7. TERMINATION: 7.1 Either party may terminate this Agreement with written notice if the other party breaches any material term or condition of this Agreement.
8. CONFIDENTIALITY: 8.1 Both parties agree to keep confidential all information exchanged during the course of the services.
9. GOVERNING LAW: 9.1 This Agreement shall be governed by and construed in accordance with the laws of Jamaica.
10. ENTIRE AGREEMENT: 10.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, understandings, or agreements, whether oral or written. IN WITNESS WHEREOF, the parties hereto have executed this Service Agreement as of the date first above written.
I have been given the opportunity to read this agreement and all related documents in full and in my own time. I have also been offered the opportunity to have any matters contained therein explained or clarified, as well as the opportunity to take independent advice prior to entering into this agreement.
I acknowledge that I am contractually bound by this agreement, and that I am liable for fees for services due to the services performed in accordance with this agreement.
Additionally, I understand that my card information will be kept on file at the payment processor during the period of this contract.
